Aquest seria el cas p.e. quan en una venda cara a cara s\u2019intercanvia al mateix moment el preu i la mercaderia.<!--more--><\/p>\n<p style=\"text-align: justify;\">Els contractes formals adquireixen import\u00e0ncia quan entre l&#8217;acord i el compliment per les parts, ha de\u00a0 passar un per\u00edode de temps, degut al fet que les parts no tenen la certesa que l\u2019altre part complir\u00e0 si hi ha un canvi de circumst\u00e0ncies o una eventualitat no prevista.<\/p>\n<p style=\"text-align: justify;\">Es freq\u00fcent que quan aix\u00f2 succeeix, quan canvien les circumst\u00e0ncies, es produeixin desacords que poden acabar en una ruptura. En bona mesura, perqu\u00e8 les parts no saben com interpretar l\u2019acord al que varen arribar a la llum d\u2019aquest canvi de circumst\u00e0ncies.<\/p>\n<p style=\"text-align: justify;\">Si passa aix\u00f2 la part que se sent perjudicada requerir\u00e0 l\u2019assist\u00e8ncia d\u2019un tercer, un jutge, per resoldre el conflicte.\u00a0 \u00a0Aquest intentar\u00e0 resoldre la disputa tenint en compte exclusivament la seva perspectiva cultural, i el conjunt de valors de car\u00e0cter pol\u00edtic, econ\u00f2mic i social propis de la societat o comunitat en la que exerceix, suplint la manca de previsions contractuals i les llacunes legals, amb principis i\u00a0 costums que s\u00f3n propis d\u2019aquesta cultura i jurisdicci\u00f3.<\/p>\n<p style=\"text-align: justify;\">Tard o d\u2019hora qualsevol empresa haur\u00e0 d\u2019afrontar discussions legals amb partners, col\u00b7laboradors, clients, prove\u00efdors etc\u2026 Si aquest s\u00f3n d\u2019altres pa\u00efsos ens podem imaginar el grau d\u2019 incertesa i inseguretat que ens generar\u00e0 no disposar d\u2019un contracte formal, ni saber quina llei es d\u2019 aplicaci\u00f3 o quins s\u00f3n els principis i costums comercials que s\u2019aplicaran, especialment al cas si resulta que son competents altres tribunals?<\/p>\n<p style=\"text-align: justify;\">Per tant, en comer\u00e7 internacional, \u00e9s encara molt m\u00e9s important disposar de contracte formals, amb previsions expresses evitant aix\u00ed queda a expenses no nom\u00e9s d\u2019una legislaci\u00f3 estrangera, sin\u00f3 tamb\u00e9 a l\u2019aplicaci\u00f3 de principis i interpretacions que el jutge pot fer en base exclusivament a la seva perspectiva cultural.<\/p>\n<p style=\"text-align: justify;\">Disposant de contractes escrits les parts poden preveure aquelles eventualitats que s\u00f3n mes critiques per a ells o que poden tenir m\u00e9s impacte al seu negoci.
